- Great Oak Solutions Rights and Responsibilities
a. Great Oak Solutions represents and warrants that it is the sole and exclusive owner of all Great Oak Solutions property and that it has the right and authority to grant the License which is contemplated here. Except for those rights which are specifically granted in this Agreement, Great Oak Solutions reserves all rights over all Great Oak Solutions content
b. Great Oak Solutions will provide links for you to place on your site so that visitors may link to Great Oak Solutions (a) to purchase an astrology reading, (b) <more info>
c. Great Oak Solutions reserves the right to deny payments to Affiliate in the event of discovering fraud or any other unlawful conduct by an Affiliate or by any third party using links from the Affiliate’s site.
d. Great Oak Solutions reserves the right to cancel this program at any time without prior notification. In this case, you will be notified immediately and paid for ALL commissions due, except in the event where it is determined that you have violated this agreement in any way.
e. Great Oak Solutions is solely responsible for all pricing, order entry, fulfillment, invoicing, approval of cancellations, shipping, and related customer service resulting from orders placed by users directed to Great Oak Solutions via Links from your web site. The Affiliate has no participation whatsoever in these activities.
f. Great Oak Solutions reserves the right to change the commission’s rate. A three day email notice will be sent to the Affiliate’s submitted email (current e-mail address on file.)
- Affiliate Rights and Responsibilities
a. You are only responsible for the development, operation, and maintenance of your website content, including all related cost. You will defend and assure Great Oak Solutions from and against any and all third-party damages, liabilities, costs and expenses arising from the operation of your website.
b. You will display links provided by Great Oak Solutions and place them on your web site in strategic location as to facilitate visitors to click on these links. For purposes solely contemplated in this Agreement, you may exhibit the links as often and in as many areas of your web site as you wish. Falsification, broken banner images, bandwidth theft and any attempt of misleading advertising are all a violation of this agreement. You agree that your web site will not frame any part of Great Oak Solutions web site, neither will it be designed to create the notion that it is part of Great Oak Solutions web sites.
c. Great Oak Solutions enforces a NO SPAM strict policy due to the dramatic increase in the number of complaints concerning the use of Internet Spam to promote Great Oak Solutions links. If Great Oak Solutions has a reasonable suspicion that you are guilty of spamming Internet outlets (such as news groups, e-mails, IRC, etc.) you are in violation of this agreement.
d. You may not use the research content or links in any way that may damage Great Oak Solutions rights and goodwill. You may not disclose Great Oak Solutions confidential information to any third party. You may not use these Great Oak Solutions properties in any manner that implies sponsorship or support by Great Oak Solutions of services and products other than those provided by Great Oak Solutions. You may not reformat or alter the links or Great Oak Solutions trademarks without the prior written consent of Great Oak Solutions.
a. Each party has the right to terminate this Agreement at any time by giving the other party written notice. You will remove all links and Great Oak Solutions trademarks from your web site and will destroy or erase from your computer memory any items containing the links and/or the Great Oak Solutions trademarks within 24 hours of termination. After the effective date of termination of this Agreement and settlement of any commission which has not been paid, you will not be entitled to any additional commissions for any sales or click-through activity generated by your web site.
